By accessing or using the Easy3PL website or services, you agree to these Terms of Use. If you do not agree, do not use the website or services.

Easy3PL provides warehouse management and related software, support, and service features. You may use the service only for lawful business purposes and in accordance with these Terms.

You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for activity that occurs under your account. You agree to notify Easy3PL promptly of any unauthorized access or suspected security issue.

Certain Easy3PL features may be offered under a trial, subscription, custom pricing arrangement, or separate commercial agreement. Pricing, billing terms, implementation terms, and renewal terms may be set out in an order form, proposal, or other written agreement. If there is a conflict between these Terms and a signed commercial agreement, the signed agreement controls for that customer relationship.

You may not use Easy3PL to violate law, infringe intellectual property rights, interfere with the platform, attempt unauthorized access, disrupt service availability, introduce malware, or misuse data belonging to Easy3PL, other customers, or third parties.

You retain responsibility for the data you submit to the service and for having the rights needed to use that data with Easy3PL. Our handling of personal and client information is described in the Privacy Policy.

Easy3PL and its related software, site content, branding, and underlying technology remain the property of Juicy WMS LLC or its licensors. Except for the limited right to use the service as permitted by these Terms and any applicable commercial agreement, no ownership rights are transferred to you.

We may modify, improve, suspend, or discontinue parts of the website or service from time to time. We do not guarantee that the service will be uninterrupted or error-free at all times, although we will use reasonable efforts to operate and support it reliably.

Except to the extent stated in a separate written agreement, the website and services are provided on an as-is and as-available basis. Easy3PL disclaims implied warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Easy3PL will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or business opportunities arising from use of the website or services. Any direct liability will be limited to the amount paid by the customer to Easy3PL for the applicable service during the 12 months preceding the event giving rise to the claim, unless a separate written agreement states otherwise.

We may suspend or terminate access to the website or services if these Terms are violated, if use creates security or legal risk, or if required by law. You may stop using the website or services at any time, subject to any contractual commitments in a separate commercial agreement.

These Terms are governed by the laws applicable to Juicy WMS LLC, without regard to conflict of law principles, unless a separate written agreement provides otherwise.

Easy3PL may update these Terms from time to time. Continued use of the website or services after updated Terms become effective constitutes acceptance of the revised Terms.
